Terms & Conditions / Software EULA

This Terms & Conditions and End-User License Agreement (“Agreement”) governs your access to and use of BIM4CIVIL software products (including plugins/add-ins), related services, and associated materials (collectively, the “Software”).

By downloading, installing, accessing, purchasing, subscribing to, or using the Software, you confirm that you have read, understood, and agree to be bound by this Agreement. If you do not agree, do not install, access, or use the Software.

Important – Incorporated Legal Documents

This Agreement expressly incorporates by reference and must be read together with the following documents, which form an integral part of the contractual relationship between you and BIM4CIVIL: By accepting this Agreement, you expressly confirm that you have read, understood, and agree to be legally bound by all the documents listed above.

1. Provider / Licensor

2. Definitions

  • “Software” means any BIM4CIVIL plugin/add-in, application, scripts, installers, updates, documentation, and related digital content.
  • “License” means the limited right to use the Software under this Agreement.
  • “User” or “you” means the individual or legal entity using the Software.
  • “Subscription” means a recurring paid plan granting access for a defined period.
  • “Order” means your purchase or subscription transaction, processed via Stripe or other payment processors.

3. License grant and ownership (IMPORTANT)

Subject to your compliance with this Agreement and payment of applicable fees, BIM4CIVIL grants you a limited, non-exclusive, non-transferable, non-sublicensable, revocable License to install and use the Software for your internal business or professional purposes, strictly in accordance with the License type you purchased.

The Software is licensed, not sold. This means you are buying a right to use the Software under these terms, not ownership of the Software itself.

No ownership rights are transferred to you. For the avoidance of doubt, you do not acquire any ownership interest in the Software or any related intellectual property rights, including but not limited to copyright, trade secrets, know-how, designs, source code, algorithms, and documentation.

BIM4CIVIL (and/or its licensors) retains exclusive ownership of the Software and all intellectual property rights in and to it. All rights not expressly granted to you in this Agreement are reserved by BIM4CIVIL.

3.1 License types (general)

Depending on the product and plan, licenses may be issued per user, per device, per seat, or per organisation. The exact License type and usage limits will be displayed at checkout or in your account portal and form part of this Agreement.

4. Account, activation, and licence management

To use certain features, you may be required to create an account and/or activate the Software using licence keys or online authentication. BIM4CIVIL may use third-party infrastructure (e.g., Supabase) to manage authentication, licence status, activations, and subscription entitlements.

  • You are responsible for maintaining the confidentiality of your credentials and licence keys.
  • You must notify BIM4CIVIL promptly of any suspected unauthorised use.
  • BIM4CIVIL may enforce activation limits and reasonable anti-fraud controls.

5. Restrictions

You must not, and must not permit any third party to:

  • Copy, modify, adapt, translate, or create derivative works of the Software, except as expressly permitted by law.
  • Reverse engineer, decompile, disassemble, or attempt to discover the source code or underlying ideas or algorithms of the Software.
  • Remove, alter, or obscure any proprietary notices, labels, or trademarks.
  • Sell, rent, lease, sublicense, distribute, or otherwise transfer the Software or the License to any third party.
  • Use the Software to develop or improve a competing product, or for unlawful, infringing, or abusive purposes.
  • Circumvent licence checks, technical limitations, or security measures.

6. Updates, changes, and availability

BIM4CIVIL may provide updates, patches, bug fixes, or new versions. Some updates may be required to continue using the Software. BIM4CIVIL may change, suspend, or discontinue features for operational, security, or legal reasons.

Compatibility with third-party software (e.g., Autodesk products) may depend on external vendors’ updates and is not guaranteed indefinitely.

7. Fees, billing, and taxes

Prices, billing cycles, and included features are shown at checkout and/or in your account portal. Payments are typically processed via Stripe.

  • You authorise BIM4CIVIL (and its payment processor) to charge your payment method for Orders, renewals, and applicable taxes.
  • You are responsible for providing accurate billing information.
  • Taxes (including VAT where applicable) may be added depending on your location and legal requirements.

7.1 Subscriptions and renewals

If you purchase a Subscription, it will automatically renew at the end of each billing period unless you cancel prior to renewal through your account portal or via the instructions provided at purchase. If your payment fails, access may be suspended until payment is resolved.

8. Refund policy

Unless otherwise stated at checkout or required by applicable law, all sales are final. For Subscriptions, you may cancel future renewals, but fees already paid are generally non-refundable.

If a refund is offered in a specific case (e.g., duplicate payment, billing error, or verified technical incompatibility not disclosed), BIM4CIVIL may process it at its discretion, and any granted refund may require deactivation of the related licence.

9. Support

BIM4CIVIL may provide support as described on the product page or in your plan (e.g., email support, documentation, updates). Response times are best-effort unless a service level is explicitly purchased in writing.

No service level agreement (SLA) is provided unless expressly agreed in writing.

10. User content and data

The Software may process data you input (e.g., project metadata, property sets, object attributes). You retain ownership of your data. You grant BIM4CIVIL a limited right to process such data solely to provide the Software, support, and licence management.

11. Confidentiality

Non-public information disclosed by either party in connection with the Software (including licensing logic, pricing, and technical documentation) should be treated as confidential and used only to perform under this Agreement, unless disclosure is required by law.

12. Intellectual property

All intellectual property rights in the Software, trademarks, logos, documentation, and related materials are owned by BIM4CIVIL and/or its licensors. No rights are granted except as expressly set forth in this Agreement.

13. Warranty disclaimer

To the maximum extent permitted by law, the Software is provided “as is” and “as available”, without warranties of any kind, whether express, implied, or statutory, including without limitation warranties of merchantability, fitness for a particular purpose, non-infringement, and uninterrupted or error-free operation.

BIM4CIVIL does not warrant that the Software will meet your requirements, that operation will be uninterrupted, or that defects will be corrected.

14. Limitation of liability

To the maximum extent permitted by law, BIM4CIVIL shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including loss of profits, revenue, data, business, or goodwill, arising out of or related to the Software or this Agreement.

To the maximum extent permitted by law, BIM4CIVIL’s total liability for any claims arising out of or related to the Software shall not exceed the amount actually paid by you for the Software in the 12 months preceding the event giving rise to the claim.

15. Compliance and export

You agree to comply with applicable laws, including export control and sanctions laws where relevant, including (where applicable) Swiss, EU, and US export control regulations. You may not use the Software in violation of applicable laws or regulations.

16. Term and termination

This Agreement remains effective until terminated. BIM4CIVIL may suspend or terminate your License immediately if you breach this Agreement, fail to pay fees when due, or if required for legal or security reasons.

Upon termination, you must stop using the Software, uninstall it, and destroy any copies in your possession. Licence access and activations may be revoked.

17. Governing law and jurisdiction

This Agreement is governed by the laws of Switzerland, without regard to conflict of laws principles. Any disputes arising out of or relating to this Agreement shall be subject to the competent courts in Switzerland, unless mandatory law provides otherwise.

18. Language and precedence

This Agreement is written in English. If this Agreement is translated into another language, the English version shall prevail in case of any conflict or inconsistency, to the maximum extent permitted by law.
